Acceptance
These AI Terms of Use ("AI Terms") govern your use of artificial intelligence features within the Question Pilot platform, operated by Question Pilot LLC ("Company," "we," "us," or "our"). By using any AI-assisted feature on the Platform, you agree to be bound by these AI Terms in addition to our Terms of Use and Privacy Policy. If you do not agree, do not use AI-assisted features. You must be 18 years or older to use these features.
What Our AI Features Do
Question Pilot uses AI services provided by Anthropic, PBC ("Anthropic") to assist with the following platform functions:
- Automatically identifying and mapping column headers when importing diligence question lists from Excel and CSV files
- Suggesting which column in your spreadsheet corresponds to question text, category, Q#, VDR reference, priority, status, and response fields
All AI-generated suggestions are presented to you for review and confirmation before any data is imported. AI features do not take any action within a deal without explicit human review and approval.
What Data Is Sent to AI Services
We send only column headers and a small number of truncated sample values to Anthropic. We do not send deal names, counterparty names, full question text, responses, or internal notes.
What is sent: Column header names from your spreadsheet, and up to 3 sample rows with each cell value truncated to 30 characters. This is sufficient for AI to identify column structure without exposing substantive deal content.
What is never sent: Deal names, project codes, counterparty names, full question text, response content, internal notes, or any other identifying transaction information.
If the AI service is unavailable, the Platform automatically falls back to rule-based column detection with no interruption to your workflow.
Data Handling & Ownership
Your deal data remains yours. We do not claim ownership of any content you submit for AI processing, and AI-assisted outputs derived from your deal data remain your property.
When you use AI-assisted features, the relevant portions of your input data are transmitted to Anthropic's API for processing over encrypted connections. Question Pilot LLC treats all data submitted through AI features as Deal Data subject to the confidentiality obligations set forth in our Terms of Use.
No Model Training
Question Pilot LLC does not use your Deal Data to train, fine-tune, or improve AI models, ours or anyone else's. We do not permit Anthropic or any other AI service provider to use your Deal Data for model training purposes as part of our service arrangement.
You agree not to use AI features on the Platform to develop, train, or benchmark competing AI models or technologies.
No Advisory Use
AI features in the Platform are workflow tools only. They are not designed or intended to provide legal advice, financial advice, investment advice, transaction recommendations, or any form of professional advisory opinion.
No AI output generated through the Platform creates or implies an advisory relationship between Question Pilot LLC and any user. See Section 4 of our Terms of Use for the full no advisory relationship disclaimer.
MNPI & Regulatory Compliance
The Platform is used in connection with transactions that may involve material non-public information ("MNPI"). You are solely responsible for ensuring that your use of AI features complies with all applicable securities laws and regulations, including rules governing the handling and transmission of MNPI.
We have designed our AI features to minimize data exposure, only structural metadata is sent to the AI service, not substantive deal content. However, you remain responsible for evaluating whether your use of any AI feature is consistent with your firm's policies, applicable law, and any applicable non-disclosure agreements.
Question Pilot LLC is a technology service provider and assumes no compliance responsibility with respect to your obligations under securities laws, FINRA rules, or other applicable regulations.
Acceptable Use
You agree to use AI features only in connection with legitimate transaction advisory activities. You agree not to:
- Submit data through AI features in violation of applicable securities laws or regulations governing material non-public information
- Attempt to extract, reverse engineer, or replicate the underlying AI models or prompting logic
- Use AI features to generate content intended to deceive, mislead, or defraud any party to a transaction
- Submit data belonging to third parties without appropriate authorization
- Use AI features in any manner that violates our Terms of Use or applicable law
Output Accuracy & User Responsibility
AI-generated outputs, including column mapping suggestions, are provided as assistance tools and may not always be accurate or appropriate for your specific context. The Platform provides a review-and-confirm step for all AI-assisted imports, allowing you to verify and adjust any AI suggestion before it is applied.
You are solely responsible for reviewing, verifying, and approving all AI-generated output before use. Question Pilot LLC makes no representations or warranties regarding the accuracy, reliability, or suitability of AI-generated outputs for any particular purpose. Reliance on AI output without independent review is at your own risk.
Intellectual Property
You retain ownership of all Deal Data you submit for AI processing. AI-assisted outputs derived from your Deal Data are considered your property and are not claimed by Question Pilot LLC.
The AI processing logic, prompting methodology, and platform infrastructure used to deliver AI features are proprietary to Question Pilot LLC. You may not copy, reproduce, or reverse engineer these components.
Limitation of Liability
Ai features are provided "as is." question pilot llc makes no warranties regarding the accuracy, completeness, or fitness for purpose of ai-generated outputs. To the maximum extent permitted by applicable law, question pilot llc shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or reliance on ai features or their outputs. The aggregate liability cap set forth in section 18 of the terms of use applies in full to all claims relating to ai features.
Indemnification
You agree to indemnify and hold harmless Question Pilot LLC, its officers, directors, employees, and agents from any claims, losses, expenses, and fees (including attorney's fees) arising from your use of AI features, your violation of these AI Terms, or any transaction decisions made in reliance on AI-generated outputs.
Termination
Question Pilot LLC reserves the right to suspend or terminate your access to AI features at any time, without prior notice, for violation of these AI Terms or for any other reason at our discretion.
Arbitration
Any dispute arising out of or relating to these AI Terms that cannot be resolved through good-faith negotiation shall be resolved by final and binding arbitration under the rules of the American Arbitration Association, conducted by a single neutral arbitrator. The arbitrator's decision will be final and may be entered as judgment in any court of competent jurisdiction.
Governing Law
These AI Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles.
Changes to These Terms
Question Pilot LLC reserves the right to update these AI Terms at any time. Material changes will be communicated via email or by notice on the Platform. Your continued use of AI features after such notice constitutes acceptance of the revised terms.
